Artículo 1- Nombre

La Asociación Panamericana de Otorrinolaringología y Cirugía de Cabeza y Cuello es establecida como una organización compuesta por especialistas interesados quienes son miembros de organizaciones similares en las Américas.

Article 1 – Name

The Pan American Association of Oto-Rhino-Laryngology and Head and Neck Surgery is hereby established as an organization composed of interested specialists who are members of similar organizations in the Americas.

Artículo 2 – Propósito

El Propósito de esta Asociación debe ser:

Promover mediante todos los medios en su poder el progreso y actualización de la Otorrinolaringología y Cirugía de Cabeza y Cuello,

Procurar el intercambio Científico, cultural y la unión entre los países de toda América,

Organizar Congresos Panamericanos bianual,

Organizar cursos  de instrucción con el aval de la asociación. En los países miembros.

Article 2 – Purpose

The purpose of this Association shall be:

To promote the progress of Oto-rhino-laryngology and Head and Neck Surgery,

To assist in the scientific and cultural exchange among the American countries,

To arrange Pan American Congresses of these specialties every two years,

To organize instructional courses under the auspices of the Association.

Artículo 3- Miembros

Debe haber cuatro clases otorrinolaringólogos miembros

Activos-  todos aquellos médicos otorrinolaringólogos de los países pertenecientes  de la asociación que asistan al congreso bianual.

Corresponsales- a pesar de no ser de alguna de las naciones miembros, éstos pueden ser electos por el Comité Ejecutivo;

Asociados- médicos o científicos no Otorrinolaringólogos con especialidades relacionadas y con educación universitaria similar, y que sean aceptados por el Comité Ejecutivo

Eméritos- ésta categoría es designada para los miembros activos quienes son mayores de 70 años, y los que por sus meritos y trayectoria, sean designados por el comité ejecutivo a la asociación. Estarán exentos del pago al programa científico del congreso bianual.

Article 3 – Members

There shall be four classes of members:

Active – all members of federated societies and in case there are none such, those whose application has been accepted;

Corresponding – although not belonging to the American nations, these may be elected by the Executive Committee;

Associate – non-otolaryngology physicians or scientists of equal stature from related specialties;

Emeritus – this category is designated to active members in good standing, who paid annual dues for at least 30 years, who are seventy years or older, who have retired from the practice of medicine and request in writing to continue to be a member in the Pan American Association of Oto-Rhino-Laryngology and Head and Neck Surgery a waiver of payment of annual dues.

Artículo 4- Órganos de Gobierno

La Asociación está compuesta por:

La Asamblea General 

El Comité Ejecutivo,

Comité de Delegados 

El Comité Financiero; cargo financiar de la Asociación

Article 4

The Association shall be composed of:

The meeting of its members constituted into General Assembly, which shall take place at the biannual Congresses,

The Executive Committee

Delegates’ Committee or Governing Council

The Finance Committee, which shall have charge of all financial matters

Artículo 5- Gobierno

El Comité de Delegados  está compuesto por representantes de cada país miembro, elegido por la organización (sociedad) perteneciente y/o por designación del comité ejecutivo de acuerdo a su participación activa en los congresos.

Este Comité de Delegados  debe representar a la Asamblea General durante su receso y puede adoptar cualquier resolución

El Comité Ejecutivo debe estar compuesto por el Presidente,  Presidente electo,   Secretario General, Secretario General Electo, Secretario de actas, Tesorero General y el ex presidente inmediato.  Todos los oficiales deben ser electos por la Asamblea General por un término de dos años.

El Comité Financiero estará formado por el Tesorero General, el Tesorero saliente y un administrador designado por el Comité Ejecutivo.

 El Presidente y los Vice-presidentes no pueden ser reelectos. El Secretario General  (puede ser reelecto a un periodo adicional con un máximo de cuatro años). El Tesorero General debe de vivir en los Estados Unidos de América. El Secretario General electo y el Tesorero General electo, una vez elegidos deben asistir a las reuniones de trabajo de tal manera que se asegure una transición sin complicaciones en la Asociación

 Los oficiales deben de representar los tres sectores de América:

1) Norte          Estados Unidos y Canadá y México;

2) Centro        Centroamérica y Panamá, con las islas del Caribe;

3) Sur              América del Sur. (Como dictado en Noviembre, 1994)

El Presidente debe ser el representante legal de la Asociación y debe representarla en todos los actos.

Article 5

The Governing Council shall be composed of two members for each country, appointed by the pertinent organization (society) of each country, or by the Executive Committee based on the history of an individual’s participation in the Association. The immediate past-President and the Executive Council of the Association shall be ex-officio members of the Governing Council. 

This Governing Council shall represent the General Assembly during its recess and may adopt any resolution.

The Executive Committee shall be composed of one President, a President-elect, three Vice Presidents, a Secretary-General, a Secretary, a Secretary-General-Elect, a Treasurer General, a Treasurer and the Immediate Past-President.

The finance committee will consist of the Treasurer General, the immediate-past Treasurer General, and a designated administrator by the Executive Committee

All of the officers shall be elected by the General Assembly for a term of two

years, and the President and Vice-Presidents cannot be re-elected, the General Secretary can be re-elected to another term to a maximum of four years.  The Treasurer-General must live in the United States of America.  A Secretary General-elect and a Treasurer General-elect, when elected will succeed the respective officers and their presence will assure a smooth transition with the association. 

The officers shall be interspersed, as far as possible, among the three sectors of America:

North              The United States and Canada;

Central            Mexico, Central American and the Islands of the Caribbean;

South              The countries of South America. (As amended November, 1994).

The President shall be the legal representative of the Association and shall represent it in all its acts.

Artículo 6- Juntas

La Asamblea General debe ser realizada durante el segundo día de  Congreso, para conocer las distintas mociones que hayan sido presentadas, los nuevos oficiales de la Asociación y el Presidente,  fecha y lugar del siguiente Congreso. Debe ser privilegio del presidente de cada Congreso designar a los otros miembros del Comité Organizador local. El Comité Ejecutivo se reúne el primer día del congreso. El Comité de Delegados se reúne el segundo día del congreso.

Article 6 – Meetings

A General Assembly shall be held during the second day of each Congress to consider the various motions which may be presented, to elect the new officers of the Association, and to designate the President, the place and date of the next Congress.  It shall be the privilege of the President of each Congress to designate the other members of the local Organizing Committee. The Executive Committee should meet on the first day of the congress. The Governing Council should meet on the second day of the Congress.

Artículo 7-  EDUCACIÓN   POST GRADO

Los miembros tendrán acceso a programas de post grado  en los cuales el  titular y el programa hayan sido avalados por el comité ejecutivo.

Los programas deberán estar disponibles atreves de la web

Members will have access via the web, of programs and educational materials that have been approved by the Executive Committee of the Association.

Artículo 8- Congresos

La solicitud de sede del congreso deberá cumplir con el reglamento de congreso vigente de la asociación y deberá ser enviada al secretario general por lo menos 1 mes antes del inicio del congreso. 

Cada país  solicitante tendrá 10 minutos para su presentación ante el consejo gobernante (delegados) y la asamblea general, para evaluación y voto.

Article 8- Congress

Official bids from countries interested in sponsoring a Congress shall consisted of a written application, appropriate authorization from governmental authorities, O-R-L Societies and local Pan American Chapters.  All documents will be submitted at least 1 month prior to the first day of the next Congress.  The President of each Congress should appoint the other members of the local Organizing Committee.

Each country wishing to sponsor a Congress will have 10 minutes for a presentation to the Governing Board and General Assembly, for their consideration and vote.

Artículo 9-

En caso de que el Comité Organizador del congreso, no lo pudiese realizar, debido a causas de fuerza mayor, el Comité Ejecutivo  seleccionara  al nuevo Presidente, lugar y  fecha para el Congreso.

Article 9-

If the local Organizing Committee, which must organize the next Congress, should not be able to do so, through force majeure or through some other cause, the Governing Council by email may select the new President, the place and date of the Congress, with the approval of majority of the total votes.

Artículo 10- Lenguajes

Los lenguajes  oficiales del Congreso deben ser Español, Inglés, y Portugués. El Comité Organizador debe realizar todo el esfuerzo para arreglar las traducciones simultáneas durante las presentaciones de los trabajos.

Article 10 – Languages

The official languages of the Congress shall be Spanish, English, and Portuguese. The organizing committee shall make every effort to arrange for simultaneous translation during presentation of the papers.

Artículo 11- Tesorería

Ingreso

La asociación se sostiene económicamente por medio del dinero recolectado de cada congreso, cursos, y donaciones,  el cual será depositado en una cuenta especial de la asociación, en un banco americano en Estados Unidos de América, bajo el cuidado y la supervisión del tesorero general y comité Financial.  Además,  se podrán crear otras cuentas especiales para el manejo financiero del congreso bianual, cursos y eventos científicos, previa autorización del Comité Ejecutivo.

Se establece el compromiso financiero en el pago de10% de las cuotas de registro y exposición comercial en caso del Congreso Bianual y el 5% en Caso de Cursos

Egresos:

Todo gasto que se realice de esta cuenta debe estar avalado por  el Tesorero General, Tesorero saliente, el Presidente y en su defecto el Secretario General. Todo egreso formara parte  del informe del Tesorero,

 Se podrán crear cuentas especiales para depósitos.

Article 11 - Treasury

Income.

The association is supported financially by the money collected from each conference, course, and donations, which will be deposited in a special account of the association, in an American bank in the United States of America, under the care and supervision of the General Treasurer and Finance Committee. In addition, there may exist other special accounts for the financial management of the biennial conference, courses, and scientific events, upon authorization of the Executive Committee.

Financial commitment to the Association is established as a payment of 10% of registration fees in the event and trade show (gross receipts prior to expenses) of the Biennial Congress and 5% in the case of Courses.

Expenses:

Any expenditure that is made in this account must be endorsed by the General Treasurer, outgoing Treasurer, the President and in his absence the Secretary General. All egress were part of the report of the Treasurer,

Artículo 12 – Financiamiento de Congreso

Cada Congreso y cursos deben financiarse por sí solos. El Comité Organizador local de ese curso o congreso debe de proveer los fondos necesarios para realización de los mismos.

Article 12 – Congress Financing

Each Congress or Course shall have its own financing.  The local Organizing Committee of said Congress shall provide the necessary funds for its own arrangements.

Artículo 13 – Trabajos y Material Educativo

Todos los trabajos y videos presentados en el Congreso Panamericano se convertirán en propiedad de la Asociación Panamericana, quien tendrá el privilegio de publicarlos oficialmente, en su página web o en CD o DVD. Un autor puede pedir un permiso para publicar su propio trabajo en alguna otra revista científica. Publicaciones de los trabajos  del Congreso en un CD o DVD  debe ser a discreción del Comité Organizador.

Article 13 – Presented Papers and Educational Material

All the papers and videos presented at a Pan American Congress shall become the property of the Pan American Association which shall have the privilege of publishing them in its web-site or a CD or DVD. Nevertheless, an author may request permission to publish his own paper in another scientific journal.  Publication of a “Transactions” in a CD or DVD of the Congress shall be at the discretion of the Organizing Committee.

Artículo 14- Representantes 

Para mejorar la comunicación entre los miembros, el Consejo Ejecutivo debe nombrar  uno o varios representantes de cada país de entre los miembros presentes en el Congreso. Estos Representantes estarán encargados de actividades específicas, tales como: contactos constante con el Secretario General y el Presidente,  la difusión  de la información que emane de la Asociación Panamericana, sus congresos, cursos y materiales  educativos  multimedios, procurar nuevos miembros, hacer y enviar la lista de miembros de la sociedades locales, nombre y direcciones electrónicas.

El comité ejecutivo podrá relevarlos de su cargo, en caso de que estén incumpliendo su misión, y a la vez elegir su reemplazo.

Article 14 - Representatives

The Executive Council shall appoint one or more Representatives in each country, among those present at the meeting, for a two year period, to improve communications, as liaison officers. These Representatives shall be charged with specific duties, such as: close communication with the General Secretary and the President the dissemination of Pan American information and educational materials, collection of local Society member list (names, addresses, emails, etc. on Excel spreadsheet),  and the procurement of new members. El executive committee may relieve a representative of his duties, in the event said members has failed his responsibilities to the Association.

Artículo 15 – Cursos Panamericanos

Cada  año intermedio entre 2 congresos se llevara a cabo un curso de un área específica. El Comité Ejecutivo designara el país sede tomando en cuenta como prioridad aquel país que ocupo el segundo lugar en la elección para la sede del congreso y desee realizar este curso.

Article 15 - Pan American Courses

Each interim year between two Congresses, a course in a specific area will be held. The Executive Committee shall appoint the host country, considering as a priority the country that ranked second in the election for the country host of the conference and want to make this course.

Articulo  16. Reunión Anual del  Consejo y Comité

El Comité Ejecutivo y el Comité de Delegados  se reunirán todos los años el primer día del inicio de la reunión de la Academia Americana de Otorrinolaringología y Cirugía de Cabeza y Cuello.

La reunión será organizada por el Secretario General quien deberá conseguir el salón y la hora adecuada, además de informar por internet a todos sus miembros  y elaborara el orden del día. Esta reunión estará coordinada con el Comité Ejecutivo del Congreso.

Article 16. Annual Meeting of the Board and Committee

The Executive Committee and the Committee of Delegates will meet every year on the first day of the start of the meeting of the American Academy of Otolaryngology and Head and Neck Surgery.

The meeting and will be convened by the Secretary General who shall arrange (with Congress officials) the meeting room and time, develop the agenda, in addition to notifying all delegates and committee members via the Internet.

Articulo 17- Sanciones

El Comité Ejecutivo podrá aplicar sanciones a los países organizadores de cursos y congresos avalados por la asociación, en caso de falta de cumplimiento  a las obligaciones y al estatuto y reglamento de la Asociación.

Las sanciones podrán consistir desde la  cancelación de congresos o cursos,  como cualquier actividad científica avalado por la asociación, las sanciones podrán ser suspendida en caso de que el país afectado cumpla con el estatuto o reglamento

Article 17 - Sanctions

The Executive Committee may impose penalties on countries and congress organizers of courses endorsed by the association, in case of failure to fulfill the obligations and regulations and rules of the Association.

Sanctions may include from the cancellation of conferences or courses, like any scientific activity supported by the association, the sanctions may be suspended if the country concerned comply with the statute or regulation 

Artículo 18– Disolución

Acerca de la disolución de la corporación, el Comité Ejecutivo deberá, después de haber pagado las deudas de la corporación, realizar un plan el cual distribuya equitativamente todos los activos y ganancias de la corporación a organizaciones que operen programas de caridad, educación, religión o propósito científico, y que en ese momento sean organizaciones descritas en la sección 501 (c) (3) del Código de Recaudación Interna (IRS)  de 1954.

Article 18 – Dissolution

Upon the dissolution of the corporation, the Executive Committee shall, after paying or making provisions for the payment of all of the liabilities of the corporation, devise a plan that will equitably distribute all assets of the corporation to organizations operated exclusively for charitable, education, religious or scientific purposes as shall at the time qualify as an organization or organizations described in Section 501 (c) (3) of the Internal Revenue Code if 1954, as the Executive Committee  shall determine.

Artículo 19- Modificaciones a este Reglamento (Constitución y Leyes)

Modificaciones a estas reglas solo pueden ser realizadas por el Comité de Delegados  por medio de mociones presentadas veinticuatro horas antes de la junta delegados. Las modificaciones para que sean aprobadas requieren de dos tercios de los votos de los miembros presentes.

Article 19 – Amendments

The By-laws may only be amended by the Delegates Committee by proposals presented up to twenty-four hours prior to the meeting.  The amendment, in order to be approved, shall require two-thirds of the votes present.
